1. Provider and Scope
These Terms of Use govern the use of the website and the services offered through it by:

"LEGALIS" is the company name of LEGALIS CONSULTANTS LLC. Users of the website as well as parties commissioning services are hereinafter referred to uniformly as "the Client."
These Terms of Use apply to (a) the use of this website, (b) the Pre-Assessment, and (c) the Initial Consultation. They do not govern any engagement extending beyond the Initial Consultation; such engagements are subject to a separate agreement (see Section 8).
2. Acceptance of These Terms
By using the website, requesting a Pre-Assessment, or booking an Initial Consultation, the Client confirms that it has read, understands, and is bound by these Terms of Use. Anyone who does not agree to these Terms may not use the website or the services.
3. Business Use Only (B2B)
These Terms of Use are directed exclusively at businesses and persons acting in a commercial or independent professional capacity. The services are not intended for consumers or private purposes.
By using the services, the Client confirms that it acts in a commercial or professional capacity and not as a consumer. Consumer-protection provisions, in particular any right of withdrawal, do not apply.
4. Nature of Services
4.1 LEGALIS provides strategic advisory on cross-border structuring and international business operations. The focus is on structural analysis, the assessment of jurisdictions, and the design of coherent international structures.
4.2 LEGALIS does not provide regulated legal or tax services.
4.3 LEGALIS performs the strategic and structural advisory itself. Where implementation requires services that are subject to official licensing - in particular legally binding representation, tax filings, or audited financial statements - these are performed by duly licensed professionals, namely attorneys, tax advisors, or auditors. LEGALIS coordinates their involvement at the Client's request.
4.4 The contents of this website are for general information only and do not constitute case-specific advice.
5. Pre-Assessment
The Pre-Assessment is a brief written initial evaluation of the Client's request or situation and is provided complimentary by e-mail. It offers concise orientation and structural perspective. A response is generally provided within two to three business days. The Pre-Assessment is non-binding and creates no obligation to perform and no engagement.
6. Initial Consultation (fee-based)
There is no separate agreement for the Initial Consultation; in this respect, these Terms of Use alone serve as the contractual basis.
6.1 Scope of Services. The Initial Consultation includes:
- a preliminary substantive assessment of the Client's matter,
- on request, a supplementary review of documents (up to 10 pages, optional),
- a focused and well-founded 60-minute online advisory session,
- the formulation of initial solution approaches, and
- a written follow-up containing recommendations and next steps.
6.2 Fee and Payment. The fee for the Initial Consultation is as stated on the website from time to time and is payable in advance upon binding booking. In the case of payment by bank transfer, payment is deemed made only upon unconditional credit to LEGALIS's account. The advisory service is not provided before receipt of payment and completion of identity verification (Section 7).
6.3 Scheduling. The Initial Consultation generally takes place within one to two weeks after confirmation. Scheduling depends on availability and the preparation required.
6.4 Binding Nature and Rescheduling. The booking of the Initial Consultation is binding, which excludes any subsequent refund of the fee. A one-time rescheduling of the Initial Consultation appointment is possible as a courtesy up to two business days before the scheduled Initial Consultation.
6.5 No Ongoing Obligation. The Initial Consultation creates no ongoing obligation and no engagement. The Client subsequently decides independently whether to grant a formal engagement.
6.6 No Guaranteed Outcome. LEGALIS owes a diligent advisory service but does not guarantee any particular economic or legal outcome.
7. Identity Verification and Anti-Money-Laundering (KYC)
7.1 Before any fee-based service is provided - in particular before the Initial Consultation - the Client must submit a clearly legible copy (scan) of a valid government-issued photo ID (passport or national identity card). No advisory service is provided without successful identity verification.
7.2 In the case of legal entities, LEGALIS may additionally require evidence of beneficial owners, authority to represent, and registration.
7.3 LEGALIS conducts appropriate screening with regard to money laundering, terrorist financing, and applicable sanctions and embargo lists. LEGALIS is entitled to refuse or terminate a service at any time if the Client is subject to a sanction, if there are indications of unlawful purposes, or if identity verification cannot be completed. Fees already paid will not be refunded in such cases.
7.4 The submitted identification data are treated as strictly confidential and processed exclusively in accordance with the Privacy Policy.
8. Subsequent Engagements (Separate Agreement)
Any engagement extending beyond the Initial Consultation requires a separate agreement setting out the scope, services, fee, and conditions. Such agreement may be concluded in writing or in electronic form (including an online booking subject to acceptance of the respective applicable terms). These Terms of Use do not govern such engagements. Where services are booked through another website or another offering, only the terms provided there apply.
9. Client Obligations and Representations
9.1 The Client represents that all information and documents it submits, or that are submitted on its behalf, are complete, true, and accurate.
9.2 The Client shall indemnify and hold LEGALIS harmless from all damages, losses, and claims arising from false information, deception, unlawful conduct, or a breach of these Terms of Use by the Client or by persons acting on its behalf.
9.3 The Client uses the website and the services exclusively for lawful purposes and in compliance with all applicable laws and regulations.
10. Prohibited Use
Prohibited in particular is any use (a) for unlawful purposes, including money laundering or tax evasion; (b) to violate applicable laws, sanctions, or embargoes; (c) to infringe the rights of third parties, including intellectual property; (d) to transmit malicious software; (e) for unauthorized extraction, crawling, or scraping of the website; or (f) to submit false or misleading information. LEGALIS may refuse or delete any inputs that violate these provisions.
11. Submission of Documents and Inputs
Where the Client uploads documents or submits information (e.g., via the intake form or the upload function for the Initial Consultation), it represents that it is entitled to share them, that it infringes no third-party rights, and that it transmits no harmful content. Submitted information is handled confidentially in accordance with Section 12 and the Privacy Policy.
12. Confidentiality
All communications, documents, and case information are treated as strictly confidential. The handling of information follows the standards of the LEGALIS information security management system (ISO 27001:2022). Non-disclosure agreements (NDAs) are concluded on request and at no additional cost prior to substantive discussions.
13. Data Protection and International Data Transfer
13.1 The processing of personal data is governed by the separately provided Privacy Policy, which forms part of these Terms of Use.
13.2 As LEGALIS is a company based in Florida (USA), the Client consents to its personal data being transferred to and processed in the USA and, where applicable, in further third countries, to the extent necessary for the provision of services. Details and safeguards are set out in the Privacy Policy.
14. Intellectual Property
All contents of this website - in particular text, design, logo, and the name "LEGALIS" - are protected. Any use, reproduction, or distribution is not permitted without LEGALIS's prior written consent.
15. Website Availability and No Warranty
The website is provided on an "as is" and "as available" basis. LEGALIS gives no warranty as to uninterrupted availability, freedom from error, or fitness for a particular purpose. Any third-party services integrated or used are subject to their own terms; LEGALIS is not liable for such services.
16. Limitation of Liability
16.1 LEGALIS is liable without limitation in cases of intent and gross negligence and in cases of mandatory statutory liability.
16.2 Otherwise, liability for ordinary negligence is limited in amount to the fee paid for the relevant service.
16.3 Liability for indirect damages, consequential damages, lost profits, and for decisions the Client makes on the basis of the advisory is excluded to the extent permitted by law.
17. Force Majeure
LEGALIS is not liable for delays or non-performance attributable to events beyond its reasonable control (force majeure), including natural events, war, terrorism, civil unrest, and failures of power, communications, or third-party services.
18. Governing Law and Dispute Resolution
18.1 These Terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
18.2 Arbitration. Subject to Section 18.3, all disputes arising out of or in connection with these Terms of Use shall be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), seated in Pinellas County, Florida, USA. The parties waive class actions and class arbitration. The arbitral award is final and may be enforced in any court of competent jurisdiction.
18.3 Exceptions (Courts). Arbitration is not required (a) for individual actions before the competent Small Claims Court in Florida, so long as the forum individual action is that court, and (b) for actions by which LEGALIS collects outstanding fees. The exclusive place of jurisdiction for such actions is the competent courts in Pinellas County, Florida, USA.
19. Language
These Terms of Use are executed in the English language. Only the English version is legally binding.
20. Changes to These Terms
LEGALIS may amend these Terms of Use with effect for the future. The version published at the time of use is authoritative (see "Last updated" above).
21. Final Provisions
21.1 Entire Agreement. These Terms of Use (together with the Privacy Policy) constitute the entire agreement regarding their subject matter. No oral side agreements exist.
21.2 No Partnership. These Terms create no partnership, employment, or agency relationship between the parties.
21.3 Severability. Should any provision be or become invalid, the validity of the remaining provisions remains unaffected.
